Terms of Service

1. Agreement

By engaging STP Digital LLC (the "Agency") for any digital marketing services, you (the "Client") agree to these Terms of Service. This document, along with any formal Statement of Work (SOW), constitutes the entire agreement between the Agency and the Client.

2. Provision of Services

The Agency agrees to provide the digital marketing services as outlined in the SOW. Services may include, but are not limited to, SEO, PPC, content marketing, and social media marketing. Timelines for deliverables will be estimated in the SOW but are not guaranteed and are subject to change based on project complexities and Client feedback.

3. Payment Terms

The Client agrees to pay all fees as specified in the SOW. Invoices are payable upon receipt unless otherwise agreed in writing. The Agency reserves the right to suspend services for overdue accounts. All payments for services rendered are non-refundable.

4. Client Responsibilities

The Client must provide all necessary access to information, digital assets, and platforms required by the Agency to perform its services. The Client is responsible for the accuracy and legality of all materials provided to the Agency.

5. Confidentiality

The Agency will treat all Client information as confidential. This includes campaign data, business strategies, and customer information. This confidentiality will be maintained during and after the term of the service agreement.

6. Limitation of Liability & Legal Disclaimers

The Agency does not guarantee specific results or outcomes from its services. The digital marketing landscape is dynamic, and performance is subject to external factors. The Agency's liability for any claim arising from this agreement shall be limited to the total fees paid by the Client to the Agency in the three (3) months preceding the claim. The Agency is not liable for any indirect, consequential, or special damages.

7. Termination

Either party may terminate the service agreement with 30 days' written notice. Upon termination, the Client is obligated to pay for all work completed up to the termination date.

8. Governing Law

This Agreement shall be governed by the laws of the jurisdiction where STP Digital LLC is incorporated.
